BY-LAWS

NORTH CASCADE CHAPTER,
BUICK CLUB OF AMERICA

SECTION 1. NAME:
The name of this club shall be the North Cascade Chapter, Buick Club of America.

SECTION 2. PURPOSES:
The purposes of this club shall be to encourage, promote, and assist its members in the following:

(a) Acquisition, restoration, use, and enjoyment of automobiles produced by Buick Motor Division of General Motors.

(b) Exchange of ideas and information.

(c) Promotion of the enjoyment by the public of antique, classic, and special interest Buicks, and of favorable public opinion towards them.

(d) Preservation of Buicks which are now or will be antique, classic, or special interest.

(e) In furtherance of these purposes, this club may, at the discretion of its membership, do the following:

(1) Hold, or participate in, swap meets, shows, field events and other activities involving antique, classic or special interest vehicles.

(2) Hold other social or fund-raising activities, including tours.

(3) Use its funds to influence legislation upon an affirmative vote of a majority of the membership.

(4) Acquire or dispose of assets, including money, provided that acquisition or disposition of any substantial assets (in excess of

(5) $200.00) shall be only upon the affirmative vote of a majority of the membership.

(6) Join with other automobile clubs either formally or informally, or to contract with any person or entity to do any thing in furtherance of the above called out purposes of the club.

SECTION 3. MEMBERSHIP:
Membership shall be open to all members in good standing of the Buick Club of America. Normally, anyone residing north of Denny Ave in Seattle WA and west of the Cascade mountains shall be eligible.

(a) ELIGIBILITY. Any person interested in the purpose of this club shall be entitled to membership upon payment of local and national dues.

(b) DUES. Dues shall be Twenty-Five Dollars per family per fiscal year.
Dues are payable at the July meeting for the next fiscal year, and are delinquent after the last day of August. Dues are non-refundable and non-assignable, and subject to increase at the Board of Directors' discretion.

(c) TERMINATION. Membership of any person shall be terminated by the Treasurer automatically for delinquency in payment of dues.

(d) REINSTATEMENT. Any membership which is terminated may be reinstated by payment of dues.

(e) PRIVILEGES. All members shall be entitled to full participation in all club activities. All members shall receive a name badge, a copy of these By-laws, and a subscription to the club publication - The Shop Rag.

SECTION 4. MEETINGS:
The meeting places and offices, if any, shall be at such places as the Board of Directors direct, subject to change by a majority vote of the membership. Regularly scheduled club meeting shall normally be the fourth Tuesday of each month unless otherwise approved by the membership.

SECTION 5. BOARD OF DIRECTORS:
The management of the club shall be vested in the named Board of Directors. They shall meet upon the call of the Director, or by a two thirds vote of the Board of Directors, or a majority vote of the membership present at a regularly scheduled meeting. Notice of any Directors' meeting shall be given in the official club publication at least 10 days in advance or by announcement at a regularly scheduled club meeting. Any member may attend a Board meeting. Only club members in good standing are eligible to sit on the Board of Directors. The Board of Directors of the club and the respective duties of each are as follows:

(a) DIRECTOR. The Director shall preside at all club meetings and shall appoint persons to act on committees. The Director shall only vote in the case of ties.

(b) VICE DIRECTOR. The Vice-Director shall act in the absence of the Director at meetings, and at other times upon the inability, refusal, or failure of the Director to perform his/her duties.

(c) SECRETARY. The secretary shall maintain minutes of each meeting and Board of Directors meeting, and shall be responsible for all non-financial records of the club including historical club documents except The Shop Rag.

(d) TREASURER. The treasurer shall be the custodian of the funds of the club, and shall maintain the financial records of the club, in current condition.

(e) OTHER DIRECTORS. The remaining named Directors shall consist of at least five additional club members appointed by the Director and ratified by a majority vote of the club members present at the first meeting of each calendar year.

SECTION 6. ELECTIONS AND TERMS OF OFFICE:
Election of the Director, Vice-Director, Secretary, and Treasurer shall be by ballot of the membership at the last regular meeting of each calendar year. Nominations shall be opened at the November meeting each year and shall remain open during the December meeting, where nominations shall be closed and the election held. Election shall be by a majority of those present casting ballots. In the event no person is elected by a majority of the votes cast for an office, a runoff election shall be held between those two candidates having the largest number of votes.
The term of office of all officers and directors shall be from January 1 to December 31 of the year following their election. In the event of vacancy of any office for any reason, an election shall be held at the next meeting to fill the vacancy. Notice of an election for a vacancy shall be published in The Shop Rag immediately preceding the meeting.

SECTION 7. RECALL OF OFFICERS:
Any officer or director may be recalled upon petition of ten (10) or more members of this club and affirmative vote by a majority of the membership present at a regularly scheduled meeting. Any recall petition must be filed with the Director and published in The Shop Rag immediately preceding the meeting at which the recall petition is voted upon.

SECTION 8. CLUB PUBLICATION:
The club publication shall be a monthly document designated The Shop Rag. All notices to members shall be deemed sufficient if published in The Shop Rag. The publication shall be edited by an editor appointed by the Director and ratified by a majority vote of the membership in attendance of regular monthly meetings. The Shop Rag shall be edited, published, and distributed at the expense of the club.

SECTION 9. AMENDMENTS TO BY-LAWS:
These By-laws may be amended upon notice by a majority vote of the membership in attendance at any regular meeting. "Notice" shall comprise publication of any proposed amendment or a complete revised set of By-laws, in The Shop Rag prior to any regular meeting together with notice of the date, time, and place of the meeting during which the amendment shall be voted upon.

SECTION 10. EFFECTIVE DATE:
These by-laws shall be effective after November 28, 2000, until amended.

SECTION 11. ENACTMENT:
Passage of these By-laws, as amended from their original form was moved, seconded, and passed by a majority vote of the membership at a regular meeting of the club on November 28 2000.
